Terms and Conditions

These Terms and Conditions govern your use of learn.rainbowdiversityinstitute.ca (the "Site"), the online learning platform of the RDI IDEA™ Academy. By accessing or using the Site you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Site.
1. Who we are
The Site is owned and operated by Rainbow Diversity Institute ("RDI", "We", "Us", "Our"), a company incorporated in Canada, with its address at PMB #162, 3-304 Stone Road West, Guelph, Ontario. The Site is delivered through the LearnWorlds e-learning platform.
2. Business customers
The RDI IDEA™ Academy provides professional learning to organizations. Access to courses and programs is provided under organizational licensing arrangements. Individual learner accounts are created by Us for people authorized by a licensed organization; public self-registration is not available.
3. Services and licensing
Courses, programs, and licensing are contracted through separate written agreements between RDI and your organization. Those agreements, together with any related order documents or invoices, govern pricing, seats, term, and scope of access. If there is any conflict between these Terms and Conditions and a written licensing agreement, the licensing agreement prevails. 4. Accounts
You are responsible for keeping your account credentials confidential and for all activity under your account. Accounts are personal to the named learner and may not be shared. You agree that the information associated with your account is accurate and kept up to date. We may suspend or close an account that is used in breach of these Terms and Conditions or of the applicable licensing agreement.
5. Intellectual property
All content on the Site, including the RDI IDEA™ Framework, course materials, workbooks, text, graphics, video, audio, and design, is owned by or licensed to RDI and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to access and view content for your own learning as authorized under your organization's licence. You may not copy, reproduce, distribute, resell, record, or create derivative works from any content without Our prior written consent. Third-party trademarks and materials remain the property of their respective owners.
6. Acceptable use
You agree not to use the Site to do anything unlawful, harassing, or harmful; not to upload or share content that is defamatory, discriminatory, obscene, or infringes another person's rights; not to attempt to gain unauthorized access to the Site, other accounts, or Our systems; and not to interfere with the operation or security of the Site.
7. Links
The Site may contain links to third-party websites. We do not control and are not responsible for the content or practices of those websites. You may link to Our home page in a way that is fair and legal; you may not frame the Site or suggest any endorsement by Us without written consent.
8. Privacy
Use of the Site is also governed by Our Privacy Policy and Cookie Policy. Personal information is collected, used, and disclosed in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy laws.
9. Availability and disclaimers
We work to keep the Site available and accurate, but the Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not guarantee that the Site will be uninterrupted or error-free, and We may suspend access for maintenance or updates. Content on the Site is professional education and general information; it is not legal advice.
10. Limitation of liability
To the maximum extent permitted by applicable law, RDI is not liable for indirect, incidental, special, or consequential losses arising from use of, or inability to use, the Site. Nothing in these Terms and Conditions excludes or limits liability that cannot be excluded or limited under applicable law. Nothing in this section limits the terms of any written licensing agreement between RDI and your organization.
11. Communications
We may send you service communications related to your account and enrolment, such as access details, course updates, and completion records. Commercial electronic messages are sent in accordance with Canada's Anti-Spam Legislation (CASL), and you may unsubscribe from them at any time using the link in the message. 12. Changes to these Terms and Conditions
We may update these Terms and Conditions from time to time. The version posted on the Site, with its "Last updated" date, applies to your use of the Site from the date it is posted. Material changes affecting licensed organizations will be communicated through the licensing relationship.
13. General
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions continue in full force. A failure by Us to enforce any provision is not a waiver of it. These Terms and Conditions do not create any rights for third parties.
14. Governing law and jurisdiction
These Terms and Conditions, and any dispute arising out of or in connection with them or the Site, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. You agree to the exclusive jurisdiction of the courts of the Province of Ontario.
